Acquisition financing

A successful vinyl record distributor to the US and UK was looking to shift up a gear with a £3 million debt fund raising in order to support the acquisition of a major competitor.

Over its 13 year history, Unique Records and Distribution had successfully been distributing Dance Music on vinyl format, the medium of choice for music aficionados and deejays.  Having seen growth every year since its incorporation, Unique had a successful export business and over 480 active, national wholesale customers including major record chains and independents.  In 2006, it was in a position to acquire its largest competitor, Amato.

The acquisition of Amato presented a clear opportunity for Unique and would create the largest independent distributor of Dance Music in the UK. In addition, it presented the opportunity to take advantage of a number of strategic and operational synergies including an increased ability to attract larger labels, whose product range necessitated a more comprehensive distribution service. In addition, the combined business could pursue other distribution strategies including online downloads, ringtones, CDs and DVDs.

AHV was appointed by Unique’s shareholders to prepare the marketing material and financial model. AHV identified and assisted in negotiations with debt investors for the fund raising and was able to manage the due diligence process together with Unique’s lawyers and accountants while negotiating favourable terms for the transaction.
